Fortis-Stack Inc. and its product Xale (Xale Sales Tracker)

These Terms and Conditions (“Terms”) govern your use of the Fortis-Stack portfolio website (the “Website”) and our product Xale, also called Xale Sales Tracker (the “Service” or “Xale”). Fortis-Stack Inc. (“Fortis-Stack”, “we”, “us”, or “our”) operates both.
Xale is a business management and sales-tracking tool that helps businesses record sales, track revenue and profit/loss, manage products and inventory, record payments, view analytics, and receive AI-assisted business insights.
Please read these Terms carefully. They are written in plain language so that business owners can understand them.
By accessing or using the Website or Xale, you agree to be bound by these Terms and our Privacy Policy. If you do not agree with any part of these Terms, you must not use the Website or Xale.
If you use Xale on behalf of a business or organisation, you confirm that you have the authority to bind that business to these Terms.

To use Xale, you must create an account using your email address and a password. Xale uses first-party authentication (email and password only) and does not offer social or third-party login. You agree to provide accurate and complete information when registering.

Xale is designed for businesses. A business account may have multiple authorised users. The business that registers the account is responsible for the conduct of its users and for ensuring they are properly authorised to access the Business Data entered into the account.
We use technical measures to protect accounts, including token-based authentication (JWT access tokens and refresh tokens, with refresh tokens hashed before storage). However, no online service is completely secure. You are responsible for safeguarding your password and devices, and for notifying us of any suspected compromise.
We are not liable for unauthorised access to your account caused by your failure to keep credentials secure.
You agree to use the Website and Xale lawfully and in accordance with these Terms. You must not use the Service in any way that could damage, disable, overburden, or impair it, or interfere with any other party’s use of the Service.

You are solely responsible for the Business Data you enter into Xale, including its accuracy, quality, and lawfulness. You confirm that you have all necessary rights and permissions (including consents where required) to upload personal data about your customers, suppliers, or staff into Xale, and that doing so complies with applicable data-protection law.
You retain ownership of the Business Data you submit to Xale. We do not claim ownership of your Business Data. Except for the limited rights described in Section 13, no licence or ownership of your Business Data is transferred to us.

These rights are limited to what is necessary to provide and improve the Service. Our handling of personal data is governed by our Privacy Policy, available at /privacy.
Xale may provide AI-assisted insights using the Llama 3.1 8B Instant model served through Groq. When you use an AI Feature, the relevant Business Data you submit may be sent to Groq to generate the result. Groq’s own terms and privacy policy apply to that processing. AI Features are provided to help you understand your business and are decision-support tools only.
AI-generated insights are informational and may contain errors or omissions. They do not constitute professional accounting, legal, tax, investment, or financial advice. You should not rely on AI-generated insights as a substitute for independent professional judgement or for verifying your own records.
Xale helps you track and organise your business information, but it does not guarantee that calculations, analytics, or reports will always be accurate or error-free. You remain responsible for verifying your sales, inventory, revenue, expenses, and other business records.
Fortis-Stack is not responsible for business losses arising from errors in data you enter or from discrepancies in Xale’s outputs.
Xale is a paid service. We use Paystack to collect subscription payments. By subscribing, you authorise us (through Paystack) to charge the applicable fees. Sensitive payment details are handled by Paystack and are subject to Paystack’s own terms and privacy policy, not these Terms.
You are responsible for providing valid payment information and for ensuring payments succeed. Failed or reversed payments may result in suspension of your access until the issue is resolved.
Xale is offered on subscription plans with different features and prices, which are presented at the point of purchase and may change from time to time. Plan and pricing changes are communicated to you by email and/or through Xale before they take effect. Unless stated otherwise, price changes apply to renewal periods after we give notice.
Xale may offer free plans or trial periods from time to time. Any free or trial plan offered will state its duration and feature limits at the point of sign-up.
Subscription fees are generally non-refundable. Where applicable law requires a refund, we will provide one. We may consider other refund requests at our discretion.
We may suspend or terminate your access to Xale if:
Where practicable, we will give you notice and an opportunity to remedy the issue. We may suspend the Service immediately where there is a security or legal risk.
Xale does not currently offer self-service account deletion. To delete your account and the Business Data associated with it, please contact us using the details in Section 47. We will delete or anonymise your data within a reasonable period, subject to legal obligations to retain certain records (such as transaction records).
Data is retained and deleted in line with our Privacy Policy; where no specific period applies, we remove or anonymise it within a reasonable time after deletion is requested.
All intellectual property in the Website and Xale — including software, text, graphics, logos, designs, and content — belongs to Fortis-Stack or its licensors. These Terms do not grant you any ownership rights in the Service, except the limited right to use it as described herein.
Xale is owned and operated by Fortis-Stack Inc. We grant you a personal, limited, non-transferable, revocable licence to use Xale in accordance with these Terms. We may revoke this licence if you breach these Terms.
“Fortis-Stack”, “Xale”, and related names, logos, and marks are trademarks of Fortis-Stack Inc. You may not use our trademarks without our prior written permission.
Xale relies on third-party service providers to operate, including Paystack (payments), Groq (AI features), Cloudflare and Render (hosting and content delivery), and MongoDB (data storage). These providers have their own terms and privacy policies, which apply to their part of the service. We are not responsible for the acts or omissions of third-party providers beyond our contractual controls.
The Website or Xale may contain links to third-party websites or services. We are not responsible for the content, terms, or practices of those sites, and providing a link does not imply endorsement.
We aim to keep Xale available and reliable, but we do not guarantee uninterrupted or error-free operation. The Service may be affected by factors outside our control, including internet or infrastructure issues.
We may perform scheduled maintenance that temporarily affects availability, and we will try to minimise disruption and give notice where possible. We do not guarantee a specific uptime percentage or service-level commitment.
We use technical and organisational measures to protect the Service and your data, including encryption in transit, access controls, and token hashing. No method of transmission or storage is completely secure, and we cannot guarantee absolute security.
How we collect, use, and protect personal data is explained in our Privacy Policy, available at /privacy. By using the Website or Xale, you consent to the processing described there. If you do not agree with the Privacy Policy, you should not use the Service.
To the fullest extent permitted by law, Fortis-Stack shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or business opportunity, arising from your use of or inability to use the Service.
Our total aggregate liability for any claim arising from the Service shall not exceed the total subscription fees you paid us in the 12 months before the claim. This limitation applies even if we were advised of the possibility of such damages.
The Website and Xale are provided “as is” and “as available”, without warranties of any kind, whether express or implied, to the fullest extent permitted by law. We do not warrant that the Service will be uninterrupted, timely, secure, or error-free, or that any results will be accurate or reliable.
Xale is a business management and sales-tracking tool, not a substitute for professional advice. Any insights, analytics, or AI-generated recommendations are informational only and should not be treated as professional accounting, legal, tax, investment, or financial advice. You remain responsible for your business decisions, for verifying your records, and for complying with applicable laws and tax obligations.
Fortis-Stack is not responsible for business losses caused by you relying solely on AI-generated insights or on any output of the Service.
You agree to indemnify and hold harmless Fortis-Stack, its officers, employees, and agents from any claims, losses, damages, or expenses (including reasonable legal costs) arising from:
We may modify, add, or discontinue features of Xale at any time. Where a change materially reduces core functionality, we will try to give reasonable notice.
We may update these Terms from time to time. The updated version will be posted at /terms with a new effective date. By continuing to use the Website or Xale after changes are posted, you accept the updated Terms. If you do not agree with the changes, you should stop using the Service.
These Terms are governed by the laws of the Federal Republic of Nigeria, without regard to its conflict-of-laws rules. Electronic acceptance of these Terms is valid and enforceable.
We encourage users to resolve disputes with us amicably. Before starting formal proceedings, you agree to contact us at fortis7379@gmail.com and attempt to resolve the dispute in good faith. If a dispute cannot be resolved informally, you and Fortis-Stack agree to attempt mediation before initiating court proceedings.
Subject to Section 39, you agree that the courts located in Lagos, Nigeria have exclusive jurisdiction over any dispute arising from these Terms or the Service.
Xale is primarily intended for businesses in Nigeria and across Africa. If you access the Service from outside Nigeria, you are responsible for complying with the laws of your country, including local data-protection and consumer rules that may apply to you. Some features may not be available in all countries.
Nothing in these Terms overrides any mandatory consumer protection or data-protection right you have under the law of your country of residence that cannot be excluded.
If any provision of these Terms is found to be invalid or unenforceable, that provision will be severed, and the remaining provisions will continue in full force and effect.
These Terms, together with our Privacy Policy and any additional terms expressly applicable to a particular feature, form the entire agreement between you and Fortis-Stack regarding the Website and Xale, and supersede any prior agreements on those subjects.
You may not assign or transfer these Terms or your account without our prior written consent. We may assign or transfer these Terms, and our rights and obligations under them, to a successor in connection with a merger, acquisition, or sale of assets.
We are not liable for any failure or delay in performing our obligations where the failure or delay is caused by events beyond our reasonable control, including natural disasters, war, civil unrest, epidemics, labour disputes, or failures of the internet, power, or third-party infrastructure.
